Abstract

This research provides an in-depth analysis of investor protection and corporate governance within the Indian capital markets. It examines the regulatory framework, key challenges, the role of institutional investors, and the impact of corporate governance practices on firm value. The study integrates theoretical perspectives with empirical evidence to offer comprehensive insights and actionable recommendations for policymakers, regulators, companies, and investors. The relevance of investor protection has increased in recent years due to the growing participation of retail investors and the globalization of financial markets. As companies expand and capital markets evolve, safeguarding investor interests becomes paramount for ensuring financial stability and long-term economic growth. Moreover, well-structured corporate governance mechanisms are essential to uphold transparency, fairness, and accountability. Additionally, this study provides a nuanced understanding of how regulatory reforms, including the Companies Act, 2013 and SEBI guidelines, have reshaped the governance landscape in India. By exploring current practices and future directions, this research contributes meaningfully to academic discourse and policy formulation in the domain of capital market governance.
